We Advertise Ltd provides online payment processing solutions worldwide and acts as a facilitator in order to assist You to accept and/or make online payments with respect to, but not limited to, credit cards, debit cards, local payments, merchant payments (the “Services”), subject to the Terms of Use (which should be read carefully by You in its entirety prior to Your use of the Services. You may use the Website and/or Services solely in accordance with these Terms of Use. Please note that these Terms of Use constitute a legally binding agreement between You and We Advertise Ltd. In addition to these Terms of Use, please review We Advertise Ltd’s Privacy Policy as well as other rules, policies and terms and conditions relating to the Services posted on the Website, which are incorporated herein by reference, together with such other policies of which You may be notified of by Us from time to time. We Advertise Ltd makes no representations or warranties as to whether the relevant financial institutions will accept and approve You as their customer. We Advertise Ltd does not make any assurances and/or warranties in regards to the credibility and/or liquidity and/or the status of the solution providers provided by Us and/or the credibility or service or products of the merchant that you will be paying.

Definitions

In these Terms of Use, the following words and phrases shall (unless the context otherwise requires) have the meanings set out beside them.

“Account” shall mean a personal account opened by You via the Website in connection with the use of the Services.

“Illegal Actions” shall mean illegal, unlawful, fraudulent or other improper activities (including, but not limited to, (i) collusion between Users, (ii) sale, transfer and/or acquiring Accounts from other Users, (iii) breaking into the Website and/or Services or attempting to do the same.

“Restricted Territories” shall mean jurisdictions blocked by We Advertise Ltd at its sole discretion, from time to time.

“Merchant” shall mean the person and/or legal entity that you are sending the funds for services and/or products and who Merchant is not a related person or entity with Us.

“Solution Provider” shall mean any authorized payment institution or bank that bridges the relationship between Us and the Merchant for the purposes of enabling the transfer of the Merchant’s and Merchant’s client funds and /or the processing of the Transactions.

“User”, “You” or “Your” shall mean any individual who opens an Account with We Advertise Ltd and uses the Website and/or Services.

“We”, “Our” or “Us” shall mean We Advertise Ltd, and/or any of We Advertise Ltd’s affiliated or associated companies, officers, directors, shareholders and employees.

Subordination to the Terms of Use and the Binding Effect Thereof

Anyone registered to the Website and/or Services, in accordance with the procedure specified hereafter, or uses the information published on the Website and/or Services, accepts upon himself/herself, in free will and consent, the Terms of Use’s authority, agrees to be bound by the Terms of Use, undertakes to act pursuant to the Terms of Use’s stipulations and to the rules specified therein, as they will be updated from time to time, without any reservation.

We do not make any warranties and/or assurances regarding the services and/or performance and/or execution of payments and/or withdrawals via the Solution Provider utilized for your service. In the event of any complications and/or issues and/or disputes with the Solution Provider and the Merchant who provides their services and products to you, this dispute is solely and exclusive between you and the Solution Provider and/or the Merchant and We will not have any liability for any loss and/or misuse of funds and/or no delivery of service or products and funds by the Solution Provider and/or the Merchant. We merely provide the platform and technology as payment facilitator that connects You, the Solution Provider and the Merchant and the legal relationship regarding the actual collection of funds will be with the Solution Provider. We do not make any warranties and/or assurances for any of the Solution Providers provided by Us and our Website. We do not make any warranties or assurances for any of the Merchants. In the event that the Merchant will not provide the services and/or deliver the products to you as chosen, We do not have any responsibility or liability and for that purpose any claim or dispute should be brought forward to the Merchant.

The Services are intended only for Users who are not prohibited by the laws of any applicable jurisdiction from using the Services. You represent, warrant and agree to ensure that Your use of the Services will comply with all applicable laws, statutes and regulations. You shall be solely responsible for determining whether Your use of the Services is legal in the place where You live and/or use the Services and to ensure that You comply with any and all laws applicable to You before registering or participating in any activity through this Website. If You reside or are present in any jurisdiction that prohibits using the Services (including without limitation any of the Restricted Territories) You shall not participate in the prohibited activity. Registration Requirements

You shall be fully and solely responsible to reserve in confidentiality Your Account and not to transfer Your Account details to another. The full responsibility for an unauthorized use of Your Account lies solely with You, and You will bear, alone, all responsibility derived of an unauthorized use of Your Account. If You misplace, forget or lose Your Account details, We Advertise Ltd shall not be liable for any direct or indirect loss associated with such occurrence.

By opening an Account, You hereby represent, warrant, acknowledge and undertake, towards We Advertise Ltd, that: (i) Your Account is for Your personal use only and not on behalf of any third party; (ii) You are an individual or company who can form legally binding contracts under the law applicable to Your country of residence, and You are at least 18 years old or at the age of legal consent as set by the law applying in the territory You are located in –whichever is higher; (iii) if You are registering as or for a business entity, You hereby declare that You have the authority to bind that entity to this Agreement; (iv) it is Your responsibility to read and comprehend the Services’ rules and procedures and You fully understand these rules and procedures; (v) You will cooperate with We Advertise Ltd and provide it with all requested documentation in a full, complete and truthful manner; (vi) You have verified and determined that Your use of the Services does not violate any laws or regulations of any jurisdiction that applies to You; (vii) You will use the Website and/or Services in good faith towards We Advertise Ltd and others using the Website and/or Services; (viii) We Advertise Ltd may at its sole discretion, open, maintain and/or close Your Account; (ix) You shall be solely responsible for maintaining the confidentiality of Your Account, and for any and all actions taken in connection with Your Account by anyone who enters Your Account while using Your Account, and all such actions shall be deemed as actions taken by You; (x) You will immediately inform We Advertise Ltd of any suspected unauthorized use of Your Account; (xi) You shall indemnify We Advertise Ltd and hold We Advertise Ltd harmless from and against all claims, liabilities, damages, losses, costs and expenses, including legal fees, arising out of or in connection with any breach of these Terms of Use by You, (xii) and you will waive any claims of actions against We Advertise Ltd for any losses suffered due to actions and/or omissions by the Merchant and/or the Solution Provider and any other liabilities arising out of: (a) Your access to or use of the Website and/or Services, or (b) Your violation of any of the terms of these Terms of Use, or (c) Your breach of any applicable laws or regulations, or (d) any unauthorized use of the Website and/or Services by any third party using Your Account.

You further represent, warrant, acknowledge and undertake, towards We Advertise Ltd, that (i) You will not use Your Account and will not allow any third party to use Your Account for any Illegal Actions; (ii) in case You will perform any Illegal Action We Advertise Ltd shall be entitled to disclose any and all of Your Account details and information to the relevant authorities, and to suspend and/or cancel Your Account; (iii) You shall be solely responsible for all losses, liabilities and damages incurred as a result of any Illegal Action performed by You and You shall indemnify We Advertise Ltd for any such losses, damages and liabilities; and (iv) You have not had an Account in the past which was terminated or suspended by We Advertise Ltd.You may not damage, disable, overburden or impair the Website and/or Services. You may not: (i) upload any content to the Website and/or Services that is libelous, defamatory, offensive, threatening, abusive, hateful, objectionable, harassing, sexually explicit, obscene, illegal, or that infringes or violates any intellectual property rights of any person or otherwise violates the law; (ii) use any automated means to access or use the Website and/or Services or copy or scrape data from the Website and/or Services; (iii) bypass any measure We Advertise Ltd may use to prevent or restrict access to the Website or any of the Services;(iv) fraudulently manipulate the Website and/or Services in any way. For avoidance of doubt, You shall be responsible and bound by any unauthorized use of the Website and/or Services, made in breach of this section.

Powers and Authorities of We Advertise Ltd

We Advertise Ltd shall make reasonable efforts to prevent malfunctioning in the Website and/or Services activity. However, in any event of a technical failure (or any other error) in the Website and/or Services systems for any reason whatsoever, We Advertise Ltd will be entitled to cancel Your participation in any of the Services, concerning which the malfunctioning has occurred. These Terms of Use have been drafted in the English language. In the event of any discrepancy between the meanings of any translated versions of these Terms of Use and the English language version, the meaning of the English language version shall prevail.
These Terms are governed in accordance to English law and for any dispute the forum will be Arbitration in the United Kingdom.
